Magictext Terms and Conditions

1. Acceptance of Terms
By accessing or using the Magictext website (“Site”), registering an account, or using any Magictext services (“Services”), you confirm that you are of legal age (18 years or older) and are authorized to bind yourself or your organization to these Terms and Conditions (“Terms”). If you do not agree with these Terms, discontinue use immediately.
2. Services and Eligibility
Magictext provides communication technology solutions, including but not limited to Bulk SMS, CPaaS, APIs, WhatsApp Business messaging, and related digital marketing tools. You must be of the age of majority and, if representing an organization, have binding authority.
3. Changes to Terms
Magictext may update these Terms at any time. Continued access or use of the Site and Services constitutes your acceptance of the updated Terms. Material changes will be communicated via the website or email. You are advised to periodically review these Terms.
4. Privacy Policy
Your personal information will be processed in accordance with Magictext’s Privacy Policy. By using the Services, you consent to all practices described in the Privacy Policy.
5. Use of Site and Services
Magictext grants you a non-exclusive, limited, revocable license to access and use the Site and Content for lawful, internal business purposes, subject to these Terms.
All content (text, images, tools, data sheets, etc.) is protected under intellectual property laws and may not be copied, modified, distributed, or used except as explicitly authorized.
You must submit complete KYC documentation within 7 days of account creation, failing which your services may be suspended.
6. Customer Responsibilities and Compliance
You are responsible for all content sent using Magictext services and must comply with all relevant laws, including TRAI, DoT, GDPR, IT Act, and platform-specific rules (Meta, WhatsApp, Google, Truecaller).
Consent must be obtained for all marketing campaigns; unauthorized, spam, phishing, or illegal messaging will result in immediate termination and possible legal action.
Stay updated on policy and regulatory changes. Magictext is not liable for interruptions or penalties resulting from your non-compliance.
Maintain the confidentiality of your account credentials, API keys, and passwords. Magictext is not responsible for unauthorized access due to customer negligence.
7. Payments, Billing & Refunds
All payments for services are upfront and non-refundable except for service failure due to provider errors.
Pricing and plans may change with advance notice; overage and extra usage will be billed as applicable.
Invoices are due within 7 days. Late payments attract interest and may result in service suspension.
Disputes must be raised in writing within 3 days of invoice issuance. Taxes are extra, charged as per law.
8. Service Termination
You may terminate your account by written notice (email or support form). All outstanding charges remain due.
Immediate suspension or termination may occur for non-payment, policy violations, security risks, or regulatory directives. Payment obligations survive termination.
No refunds for unused credits, pre-billed platform fees, or limits resulting from spamming or compliance failures.
9. Limitation of Liability
Magictext and its affiliates are not liable for any indirect, consequential, punitive, incidental, or reliance damages, including lost profits, business disruption, or data loss, even if advised of possible damages.
Maximum liability (where enforceable by law) is limited either to the average monthly payments made by you in the preceding 12 months or INR 1,00,000, whichever is lesser.
Magictext is not liable for service interruptions due to telecom providers, network dependencies, or issues within your own platforms, systems, or applications.
10. Data & Privacy Protection
Customer data ownership is retained by the customer and is processed only for service delivery as described in the Privacy Policy.
Industry-standard security measures protect your data, but liability is limited to the extent permitted by law for breaches not resulting from Magictext’s own negligence.
Use of third-party integrations is subject to their privacy policies.
11. Intellectual Property
All services, technologies, APIs, and proprietary material remain the exclusive property of Magictext. You may not copy, exploit, or duplicate any part without written consent.
Customers retain rights to their own messaging content but grant Magictext the necessary license to process, transmit, and store such data for service purposes.
12. Indemnification
You agree to indemnify and hold harmless Magictext and its representatives against any claims, damages, losses, or costs resulting from your use of the Services, violation of these Terms, breach of laws, or third-party claims regarding your content or activities.
13. Service Level and Availability
Services are provided on a best-effort basis with high availability targets but are not guaranteed to be continuous, error-free, or interruption-free.
Scheduled maintenance and third-party network issues may cause temporary service disruption.
14. Modifications and Updates
Terms and service features may be modified, suspended, or discontinued at Magictext’s sole discretion, with reasonable notice when feasible.
Continued use post-changes indicates acceptance of updates.
15. Governing Law & Jurisdiction
These Terms are governed by the laws of India, and all disputes are subject to the exclusive jurisdiction of courts located in [New Delhi, or your company’s city].
Disputes are encouraged to be resolved by direct communication first.
16. Miscellaneous
These Terms, along with the Privacy Policy and any written agreements, comprise the full agreement between you and Magictext.
Severability: If any part of these Terms is unenforceable, the remainder remains effective.
Assignment: Magictext may assign this agreement without restriction; customers may not assign obligations without consent.
Force Majeure: Neither party is liable for delays or failures due to reasons beyond reasonable control.
